****Acceptance of Terms***** The Hosting Globe Affiliate Program (the "Program) is provided to you under the Hosting Globe Terms of Use as well as this Operating Agreement (together the "Agreement"). Participation by any individual or entity in the Program requires acceptance of all terms and conditions contained in the Agreement. Hosting Globe reserves the right to make changes to the Agreement at any time without notice to you. *Your Affiliate Number, Links and Graphics* Upon acceptance of this Agreement, you will become activated and you will be provided with your unique Affiliate Number along with its corresponding Links and Graphics. Your Affiliate Number is a unique code that we use to track referrals that you generate (so that we can credit referral fees to your account). To permit accurate tracking, reporting, and referral fee accrual, you must ensure that each of the links between your site(s) or emails and our site properly utilizes your Affiliate Link format. We will not be liable to you with respect to any failure by you to use your Affiliate Links, including to the extent that such failure may result in any reduction of amounts that would otherwise be paid to you pursuant to this Agreement. Hosting Globe may review the Content on your Site or any other Site where you have placed your Affiliate Links and Graphics at any time. If Hosting Globe, in its sole discretion, concludes that you have violated or threatened to violate the terms of this Agreement, we may (without limiting any other rights or remedies available to us) withhold any referral fees otherwise payable to you under this Agreement and/or immediately terminate this Agreement. ********Referral Fees********** You will earn referral fee of 50% on the initial sale and 50% for each month as long as the customer is a member of Hosting Globe. You may not purchase Hosting Globe services using your own Affiliate Number or during sessions initiated through your Affiliate Links for your own use or for resale. ******Payment Terms******* Payments are made monthly net 30 to either Paypal or by check. Check are to be delieved within the first 10 days of the month. If a sale that generated a referral fee is returned by the customer (e.g. if the customer initiates a chargeback or receives a refund), we will deduct the corresponding referral fee from your account balance. ***Affiliates' Relationship with Hosting Globe**** You and Hosting Globe are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Hosting Globe. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section. ***********Limited License***********We grant you a nonexclusive, revocable right to use the graphic image and text described in the section entitled, "Links" and such other text or images for which we grant express permission, solely for the purpose of identifying your site as a Program participant and to assist in generating Hosting Globe sales. You may modify the graphic images or texts in order increase you own sales. We reserve all of our rights in the graphic image and text, any other images, our trade names and all other intellectual property rights. ********Limitation of Liability******** We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement. ******Applicable law************ This Site is created and controlled by Hosting Globe in the State of Missouri, USA. As such, the laws of the State of Missouri will govern these disclaimers, terms and conditions, without giving effect to any principles of conflicts of laws. We reserve the right to make changes to our site and these disclaimers, terms and conditions at any time.
